Terms of Service

These Terms of Service ("Terms") govern the Unsuspendly macOS and Windows applications, website, licensing service, AI-assisted upload feature, and related support and billing services (collectively, the "Service"). Unsuspendly is operated by Andrew Daoud, a Pennsylvania sole proprietor doing business as Unsuspendly ("Unsuspendly," "we," "us," or "our"). By checking the acceptance box, installing, or using the Service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and availability
You must be at least 18 years old and legally able to enter into these Terms. If you use the Service for an organization, you represent that you have authority to bind it. You may use the Service only in a country or territory where the Service and its third-party providers permit access and only in compliance with applicable law.
2. Limited licence
Subject to these Terms and any applicable subscription limits, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the app for your own educational study. You may not copy, rent, lease, sell, sublicense, redistribute, make the app available as a service bureau, remove proprietary notices, or reverse engineer or attempt to extract its source code except to the extent applicable law expressly permits those activities despite this restriction.
3. What the Service does
Unsuspendly locally extracts text from lecture slide decks you select, sends that text to an AI model to identify concepts and scope, and maps those concepts locally to tags and searches in your chosen Anki collection. It shows searches and card counts for review. Only after you approve a run does it unsuspend matching cards. Depending on the settings and action you choose, it may also move cards into or out of subdecks, add or remove note tags, suspend low-yield cards, initiate an Anki sync, or reverse certain recorded operations.
The Service does not supply or include an Anki deck, flashcards, medical curriculum, or lecture content. It works with materials and collections you obtain separately.
4. Back up and review your Anki collection
Back up your Anki collection before using the Service, keep current backups, and review every proposed run. Unsuspendly can change many cards, notes, tags, and deck assignments at once. Automated matching is imperfect and can include irrelevant cards or miss relevant cards.
The Review & Run screen provides a read-only preview and per-search card counts before unsuspension. You are responsible for checking that preview and your selected deck, tag source, options, and scope. History and undo features reduce risk but are not a substitute for an Anki backup. An undo may not restore every aspect of an Anki collection, particularly after later manual edits, synchronization conflicts, deletion, or changes made by other add-ons.
5. Your content and permissions
You retain any rights you have in material you submit. You grant us and our service providers a limited, worldwide licence to host, transmit, reproduce, and process the extracted text and AI input and output only as necessary to provide, secure, and support the Service, comply with law, and enforce these Terms. This licence ends when processing is no longer necessary, subject to provider retention, backups, security records, and legal obligations described in the Privacy Policy.
You represent that you have all permissions necessary to process the material you select. Lecture slides, school assessments, images, and course materials may be owned by an institution, instructor, publisher, patient, or other third party. Your access to a file does not necessarily give you permission to transmit it to an AI provider. Do not submit material that is unlawful, infringing, confidential, subject to an examination-security restriction, or prohibited by your institution.
Do not submit protected health information, patient-identifiable information, or personal data you are not authorized to disclose. The Service is not designed as a HIPAA-enabled product, and we do not enter into business associate agreements for it.
6. AI output and matching limitations
AI output and local matching may be incomplete, inaccurate, inconsistent, or unsuitable for a particular lecture or deck. The AI identifies lecture concepts and scope; local deterministic software selects tags and searches. Neither process verifies the medical accuracy, completeness, currency, copyright status, or educational quality of your slides or flashcards. You must exercise your own judgment and review the results.
7. Trial
- One device-bound trial begins automatically when the first AI-assisted lecture upload provisions a trial key.
- The trial ends when either 14 days have elapsed or 10 lecture uploads have been processed, whichever occurs first.
- No payment method is required for the trial, and the trial does not automatically convert into a paid subscription.
- The trial is limited to one per device. Reinstalling, clearing settings, or requesting another key does not create a new trial.
Manual Review & Run features that do not call the AI service may remain available after the trial or subscription ends, but we may change which features are free or paid with notice where required.
8. Paid subscriptions and automatic renewal
- Plans. Starter is $7.99 per month or $79.99 per year and includes up to 40 AI-assisted lecture uploads per UTC calendar month. Pro is $14.99 per month or $149.99 per year and includes up to 100. The plan and allowance shown at checkout are the ones that apply.
- Billing period and allowance. Fees are charged in advance and renew automatically each month or each year, matching the billing period you selected, until cancelled. Upload allowances reset at the start of each UTC calendar month and do not roll over.
- Price and tax. Payments are processed by Stripe. The total price, billing frequency, currency, and any applicable taxes are disclosed during checkout. You authorize us to charge the selected payment method at each renewal unless you cancel.
- Cancellation. You may manage or cancel your subscription at any time through the Stripe customer portal, which the app's Settings screen links to. Cancellation stops future renewal and ordinarily takes effect at the end of the already-paid billing period. Except where law or a refund requires otherwise, access continues until that date.
- Payment problems. We may restrict AI-assisted uploads if a payment is declined, the subscription is past due, or Stripe reports it as inactive. You remain responsible for amounts lawfully due.
- Plan changes. We may change prices, limits, or plans prospectively. We will provide notice required by applicable law before a change affects an existing renewing subscription. A change will not retroactively increase a charge already paid.
9. Refunds and consumer rights
Except where required by law or expressly stated at checkout, fees are non-refundable and we do not provide credits for partially used billing periods or unused upload allowance. If you believe a charge was made in error or the Service materially failed to work as described, contact us promptly at support@unsuspendly.com. We may issue a refund or credit at our discretion.
Nothing in these Terms limits a mandatory cooling-off period, legal guarantee, refund, cancellation right, or other consumer protection that cannot be waived. If local law gives you a right to withdraw from a digital-service purchase, contact us within the applicable period. Starting the Service immediately may affect that right only if you gave the express consent and acknowledgement required by local law.
10. License keys and devices
You are responsible for keeping your license key confidential and for activity authorized with it. A paid license is limited to one device at a time and binds to the first device that uses it. The app permits a device transfer no more than once every seven days. Do not publish, sell, or share a key. Contact support promptly if you believe a key has been exposed.
11. Acceptable use
You may not:
- circumvent trials, subscriptions, quotas, licensing, device controls, or security measures;
- interfere with, overload, probe, scrape, or gain unauthorized access to the Service or another person's data or license;
- use the Service to transmit malware or unlawful, infringing, deceptive, abusive, or privacy-invasive material;
- use the Service to develop or operate a competing AI model or to extract or replicate an upstream model where prohibited by its terms; or
- use the Service in clinical practice, to provide medical advice, for patient care, or in any manner requiring medical-device authorization or regulatory clearance.
12. Educational use only; not medical advice
The Service is a study and organization aid, not a medical device or source of medical advice. It is not intended for diagnosis, treatment, prevention, clinical decisions, patient care, or emergency use. Flashcard and lecture content comes from your own materials and is not authored, reviewed, endorsed, or verified by us. Always use authoritative current sources and qualified professional judgment.
13. Third-party products and trademarks
The Service depends on third-party products and services, including Anki, AnkiConnect, Google Gemini, Cloudflare, Stripe, operating-system services, and any Anki sync provider you choose. Their terms, privacy practices, availability, and changes are outside our control.
Unsuspendly is independent and is not affiliated with, endorsed by, sponsored by, or an official product of Anki, Ankitects Pty Ltd, AnkiConnect, The AnKing, Google, Cloudflare, Stripe, or any medical school. Unsuspendly does not include, distribute, sell, or modify the AnKing deck or any other third-party flashcard deck. Third-party names and marks belong to their respective owners and are used only to identify compatibility or required services.
14. Our intellectual property
The Service, including its software, design, branding, documentation, and original content, is owned by us or our licensors and is protected by intellectual-property law. Except for the limited licence in Section 2, these Terms grant you no right in the Service or our marks. Feedback you voluntarily provide may be used without restriction or compensation, but we will not identify you publicly without permission.
15. Privacy
Our Privacy Policy explains what information is processed, what remains local, how lecture text reaches Google Gemini, provider retention, and your privacy choices. By using the Service, you acknowledge those practices.
16. Availability, updates, and changes
We do not guarantee that the Service will always be available, error-free, compatible with every deck or tag structure, or supported on every operating-system or third-party version. We may provide automatic or manual updates and may add, modify, suspend, or discontinue features. We will provide notice or refunds where applicable law requires them.
17. Suspension and termination
You may stop using the Service and cancel a subscription at any time. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay, abuse a trial or license, or if continued operation is prohibited by law or a provider. Where reasonable, we will provide notice and an opportunity to cure. Termination does not erase local app data or reverse Anki changes. Sections that by their nature should survive termination, including ownership, disclaimers, liability limits, accrued payment obligations, and governing law, will survive.
18. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or that results will meet your study needs. We do not warrant any number of matched cards, improved grade or examination result, or amount of time saved.
19. Limitation of liability
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of data, study progress, revenue, or opportunity; damage to an Anki collection; or reliance on AI, lecture, or flashcard content, even if advised that such loss is possible.
To the fullest extent permitted by law, our total aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service during the 12 months before the event giving rise to the claim or (b) USD 50.
Some jurisdictions do not allow certain disclaimers or limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted. Nothing in these Terms excludes liability or consumer rights that cannot lawfully be excluded or limited.
20. Changes to these Terms
We may update these Terms as the Service or law changes. We will post the revised Terms, update the date above, and provide additional notice where required. If changes are material, the app will require review of the new version before continued use of affected features. Changes apply prospectively; they do not retroactively alter disputes that arose before the effective date unless law permits and you agree.
21. Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-laws principles. State and federal courts located in Pennsylvania will have jurisdiction, except that mandatory consumer law may give you the right to bring proceedings in another forum or receive the protection of laws in your place of residence.
22. General
If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of the Service. These Terms and the Privacy Policy are the entire agreement between you and us concerning the Service, except for checkout terms or written terms that expressly supplement them.
